Terms and Conditions - CloudBox Cloud Services
These terms and conditions (the "Agreement") govern the use of CloudBox's cloud services (the "Services") by the customer ("Customer" or "You"). By using the Services, You agree to be bound by these terms and conditions in their entirety. If You do not agree with any part of this Agreement, You must not use the Services.
1. Service Description:
1.1 CloudBox offers a variety of cloud services, including cloud infrastructure management, cloud application development, cloud migration, managed cloud services, and cloud consulting.
1.2 The specific features and functionalities of the Services will be detailed in the respective service agreements or proposals provided to the Customer.
2. Customer Obligations:
2.1 You are responsible for providing accurate and up-to-date information during the registration process and throughout the use of the Services.
2.2 You must not use the Services for any unlawful or unauthorized purpose, including but not limited to infringing on intellectual property rights, distributing malicious software, or engaging in any activity that violates applicable laws or regulations.
2.3 You are responsible for maintaining the confidentiality of Your account credentials and are liable for all activities that occur under Your account.
3. Payment and Billing:
3.1 The fees for the Services will be as set forth in the applicable service agreement or proposal.
3.2 Payment terms, including billing cycles and accepted payment methods, will be specified in the service agreement or proposal.
3.3 CloudBox reserves the right to modify the fees and payment terms upon prior notice to the Customer.
4. Intellectual Property:
4.1 CloudBox retains all right, title, and interest in and to the Services, including all intellectual property rights.
4.2 You agree not to copy, modify, reverse engineer, or create derivative works based on the Services or any part thereof.
4.3 Customer data and content uploaded or generated through the Services will remain the property of the Customer.
5. Data Privacy and Security:
5.1 CloudBox will take appropriate measures to protect the security and confidentiality of Customer data and content. However, CloudBox shall not be held liable for any unauthorized access, loss, or disclosure of such data unless caused by CloudBox's negligence.
5.2 Customer agrees to comply with all applicable data protection and privacy laws and regulations when using the Services.
6. Termination:
6.1 Either party may terminate this Agreement by providing written notice to the other party in the event of a material breach of the terms of this Agreement by the other party, which remains uncured after 30 days from the date of the notice.
6.2 CloudBox may suspend or terminate the Services immediately if You engage in any prohibited activities or misuse the Services.
7. Limitation of Liability:
7.1 CloudBox shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the use or inability to use the Services.
7.2 CloudBox's liability, if any, under this Agreement shall not exceed the total fees paid by the Customer for the Services during the three months preceding the date of the claim.
8. Governing Law and Jurisdiction:
8.1 This Agreement shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of laws principles.
8.2 Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in Pakistan.
9. Miscellaneous:
9.1 This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, whether written or oral.
9.2 CloudBox may update or modify these terms and conditions from time to time, and such changes will be effective upon posting the updated Agreement on the CloudBox website or notifying the Customer by email.
By using CloudBox's Services, You acknowledge that You have read, understood, and agreed to be bound by these terms and conditions.
